What are the Accredited Investor Qualifications and required Documentation?
ACCREDITED INVESTOR VERIFICATION GUIDE
To comply with SEC Regulation D, Rule 506(c), all investors in the Fund must be verified as "Accredited Investors." This document outlines the criteria and the specific documentation required to complete your subscription.
1. Qualifications
An individual is considered an Accredited Investor if they meet at least one of the following criteria:
• Income Test: An annual income exceeding $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the two most recent years, with a reasonable expectation of reaching the same level in the current year.
• Net Worth Test: An individual net worth (or joint net worth with a spouse or spousal equivalent) that exceeds $1,000,000, excluding the value of your primary residence.
• Professional Credentials: Holding certain professional designations or licenses in good standing (e.g., Series 7, 65, or 82).
2. Required Documentation
You may choose one of the following three methods to verify your status:
Option A: Third-Party Confirmation (Recommended)
This is the most streamlined method. Provide a written confirmation letter from one of the following professionals:
• Registered Broker-Dealer
• SEC-Registered Investment Adviser (RIA)
• Licensed Attorney
• Certified Public Accountant (CPA)
Note: The letter must confirm that the professional has taken reasonable steps to verify your status within the last 3 months.
Option B: Income Verification
Provide official records for the two most recent years, such as:
• IRS forms (W-2, 1099, Schedule K-1, or Form 1040).
Option C: Net Worth Verification
Provide documentation dated within the last 90 days:
• Assets: Bank statements, brokerage statements, or certificates of deposit.
• Liabilities: A credit report from at least one national nationwide consumer reporting agency.
